PUBLIC OFFER AGREEMENT

(for the purchase and sale of goods in the Panistyl.ua online store)

This Agreement is an official and public offer by an individual entrepreneur (hereinafter referred to as the Seller) to conclude an agreement for the sale and purchase of goods on the website Panistyl.ua on the terms and conditions set forth in this Offer.

In accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine, the terms of this Agreement are the same for all Buyers, and its acceptance (offer) is carried out by placing an order on the website.

By placing an order, the Buyer confirms their agreement with the terms of this Agreement.

1. Terms and definitions

1.1. Online store — the Panistyl.ua website, which belongs to the Seller and is intended for the remote sale of goods.

1.2. Seller — an individual entrepreneur who sells goods under the Panistyl / A.G. trademark.

1.3. Buyer — any legally capable individual or legal entity that has placed an order.

1.4. Goods — women's clothing and other products presented on the website.

1.5. Offer — this Agreement.

1.6. Acceptance — full and unconditional acceptance of the terms of the Agreement by placing an order on the website.

1.7. Order — a set of goods selected by the Buyer, placed through the shopping cart, by phone, or by e-mail.

1.8. Wholesale — purchase by the dozen or in batches, in accordance with the terms of section 7.

2. Subject of the agreement

2.1. The Seller undertakes to transfer the goods to the Buyer's ownership, and the Buyer undertakes to accept and pay for them under the terms of this Agreement.

2.2. The goods and the terms of their sale are specified on the page of each product.

3. Ordering procedure

3.1. The Buyer places an order via the shopping cart, by phone, or by email.

3.2. Within 1–3 business days, the manager verifies availability and details and confirms the order.

3.3. The order is considered accepted after confirmation by the manager.

4. Product prices

4.1. Current wholesale and retail prices are listed on the product page.

4.2. The seller has the right to change prices. The change does not apply to confirmed orders.

4.3. The retail price is displayed automatically when selecting the color and size.

4.4. Wholesale prices are available for wholesale customers and can be found on the product card or in the manager's price list.

5. Payment

5.1. Payment can be made in the following ways:

  • prepayment to a PrivatBank card;
  • cash on delivery with a partial prepayment of UAH 200.

5.2. When paying by card, the shipment is made only after the funds are received.

5.3. All bank fees are paid by the Buyer.

6. Delivery

6.1. Delivery is carried out by the transport company Nova Poshta.

6.2. Delivery is paid by the Buyer.

6.3. Delivery time: 1–5 business days depending on the city.

6.4. Shipments are made daily at 2:00 p.m., except Saturdays and Sundays.

6.5. Orders paid for before 12:00 p.m. are shipped the same day; after 12:00 p.m. — the next business day.

6.6. Parcels are valued at the minimum cost, unless the Buyer specifies otherwise.

7. Terms and conditions for wholesale buyers

7.1. The minimum wholesale order for outerwear is a full size range (the full size range of one model in one color).

7.2. Wholesale prices are shown in the product card.

7.3. The manager can provide a wholesale price list upon request.

7.4. Returns for wholesale, joint purchases, or dropshipping are not accepted.

7.5. Exchanges are only possible in the following cases:

  • manufacturing defect;
  • seller error (wrong size/color). 7.6. All exchange requests must be made within 7 days of the date of shipment.

8. Dropshipping

8.1. The seller works with dropshipping partners.

8.2. Conditions:

  • no minimum purchase requirements;
  • current stock levels;
  • daily shipments;
  • provision of photos, descriptions, and manager support. 8.3. Returns are not accepted for dropshipping (except for defects or store errors).

9. Terms and conditions for retail buyers

9.1. Orders of less than 5 units are sold at retail price.

9.2. The retail price is automatically displayed on the product page.

9.3. The buyer can consult with a manager before making a purchase.

10. Returns and exchanges

10.1. Returns and exchanges are governed by the Law of Ukraine “On Protection of Consumer Rights.”

10.2. Retail buyers:

  • exchange/return within 14 days;
  • the product must be in its original packaging, with labels and without signs of wear;
  • the buyer pays the shipping costs for returns/exchanges.

10.3. Wholesale customers, joint ventures, and dropshipping:

  • no returns;
  • exchanges are only possible in case of a defect or store error;
  • requests are accepted within 7 days.

11. Rights and obligations of the parties

The Seller is obliged to:

  • provide accurate information about the goods;
  • ship orders within the specified time frame;
  • resolve disputes in accordance with the law.

The Buyer is obliged to:

  • provide accurate information when placing an order;
  • check the goods upon receipt;
  • pay for the order.

12. Liability of the parties

12.1. The seller is not responsible for the actions of the transport company.

12.2. The buyer is responsible for the accuracy of the delivery details.

12.3. The seller is not responsible for minor color changes caused by screen settings.

13. Confidentiality and data protection

13.1. The Seller processes personal data in accordance with the Law of Ukraine “On the Protection of Personal Data.”

13.2. The data is used exclusively for processing orders and is not transferred to third parties, except in cases provided for by law.

14. Term of the agreement

14.1. The contract comes into force upon acceptance and remains in force until the parties have fulfilled their obligations in full.

14.2. The seller has the right to change the terms of the offer. The current version is always available on the website.
